The use of www.dizideo.com or other sites to which these Terms are linked (each, a “Website”), owned and maintained by Dizideo d/b/a Dizideo (“Dizideo,” “we,” “our,” “us”), is governed by these Terms. We offer the Website, including all information, tools, and services available from the Website, to you, the user, conditioned upon your acceptance of all terms and conditions stated herein. By accessing, using, subscribing, or placing an order over the Website, you and your business (including any sub-users you may have) agree to the terms and conditions set forth herein. If you do not agree to these Terms in their entirety, you are not authorized to use the Website in any manner or form whatsoever.
THIS IS A BINDING AGREEMENT. THESE TERMS, TOGETHER WITH OUR PRIVACY POLICY AND DATA PROCESSING AGREEMENT, FORM A LEGALLY BINDING AGREEMENT (THE “AGREEMENT”) BETWEEN YOU AND YOUR BUSINESS (“YOU”) AND DIZIDEO. SECTION 1 – WEBSITE USE

If you purchase a subscription to Dizideo’s software or services through the Website, Dizideo grants you a revocable, limited, non-exclusive, non-sublicensable, and non-transferable license to use the software or services. You acknowledge and agree that:
The software and services are protected by United States and international copyright laws and are exclusively owned by Dizideo.
You do not acquire any ownership rights in the software or services.
You may not modify, publish, transmit, participate in the transfer or sale, or create derivative works from the content of the software or services.

Digital or physical attacks: Hacking, scraping, crawling, downloading, screen-grabbing, or otherwise copying content from the Website without explicit permission; introducing, transmitting, or storing viruses, malware, or malicious code.
Interference: Disrupting the security, integrity, or operation of the Website or its associated systems.
Unauthorized reproduction: Framing, mirroring, or otherwise duplicating the Website for competitive purposes, benchmarking, or gathering intelligence for a competing product or service.
Intellectual property violations: Using, uploading, or transferring works of authorship, images, or data without obtaining the necessary permissions or licenses.
Data interception or expropriation: Intercepting, manipulating, or misusing data stored on or transmitted through the Website.
Deceptive practices: Manipulating media or information in ways that mislead or harm Dizideo or its users.

Any communication sent, authorized, or otherwise facilitated by you that can reasonably be deemed as "spamming" or other unsolicited solicitations (including but not limited to postings on social media, third-party blogs, or forums) will be considered a material violation of these Terms. You are solely responsible for ensuring that all communications comply with applicable state and local anti-spam laws or regulations.
OFFENSIVE COMMUNICATIONS:
You agree not to send, post, or authorize any communication that is:
Sexually explicit, obscene, vulgar, or pornographic.
Offensive, profane, hateful, threatening, harmful, inciting, defamatory, libelous, harassing, or discriminatory.
Misleading, false, or misinforming.
Graphically violent or solicitous of unlawful behavior.
SENSITIVE INFORMATION:
You are prohibited from importing or incorporating into any contact lists, media, or other content uploaded to Dizideo’s platform any of the following:
Social Security Numbers or National Insurance Numbers.
Credit card data, passwords, or security credentials.
Bank account numbers.
Sensitive personal, health, or financial information of any kind.
ILLEGAL BUSINESS ACTIVITY:
Dizideo prohibits the promotion or facilitation of illegal business activities, including but not limited to:
Multi-level marketing schemes, unless compliant with the Federal Trade Commission’s (FTC) guidelines.
Promotion or sale of illegal drugs, including but not limited to marijuana-derived CBD oil, where prohibited by law.
Activities that infringe or promote the infringement of another party’s intellectual property rights.
BEST PRACTICES FOR ELECTRONIC COMMUNICATIONS
In addition to the above provisions, Dizideo requires you to adhere to the following best practices when sending electronic communications:
Use Permission-Based Marketing:
Send electronic communications only to permission-based lists where each recipient has affirmatively opted in to receive such communications.
Provide an Unsubscribe Mechanism:
Include a working “unsubscribe” mechanism in every marketing electronic communication, enabling recipients to opt out from your mailing list. (Transactional or receipt messages exempt from “unsubscribe” requirements under applicable law are excluded from this obligation.)
Honor Unsubscribe Requests Promptly:
Comply with all requests to be removed from your mailing list within ten (10) days of receipt or within the deadline set by applicable law, whichever is earlier.
Maintain and Comply with a Privacy Policy:
Publish, maintain, and comply with a privacy policy that meets all applicable legal requirements, regardless of who controls the sending of the electronic communications.
Link to Your Privacy Policy:
Include a link to your current privacy policy in each electronic communication.
Provide a Valid Physical Address:
Each electronic communication must include your valid physical mailing address or a link to that information.
Avoid Using Purchased or Rented Lists:
Do not send electronic communications to addresses obtained from purchased or rented lists.
Respect Third-Party Permissions:
Do not use third-party electronic addresses, domain names, or mail servers without proper authorization.
Avoid Sending to Non-Specific Addresses:

Prohibit Spamming:

Prohibit Lead Generation for Third Parties:
Do not send offers designed to obtain or attempt to obtain personal information or generate leads for third parties.
Avoid Chain Letters or Pyramid Schemes:
Do not send “chain letters,” “pyramid schemes,” or other electronic messages encouraging recipients to forward the content to others.
Do Not Use Scraped or Programmatically Generated Lists:
Refrain from sending to lists of addresses that are scraped from the Internet or programmatically generated.
Adopt Responsible Sending Practices:
Avoid sending practices or message delivery rates that may harm Dizideo’s services or other users.
Avoid Sending Junk Mail:
Do not send messages that may be considered junk mail. Examples include but are not limited to messaging related to penny stocks, gambling, multi-level marketing (unless compliant with FTC guidelines), direct-to-consumer pharmaceutical sales, and payday loans.
Compliance with Laws:
You agree to conduct yourself and your business operations in full compliance with all applicable laws, whether through the use of Dizideo’s platform or otherwise.
MARKETING.AI Content
Dizideo incorporates an AI-powered tool, referred to as "Marketing.AI" (the “System”), that allows you to create various marketing content. You may provide input to the System and receive output generated by it based on your original input. Collectively, the input and output generated by the System are referred to as "AI Content."
Ownership of AI Content
As between you and Dizideo, and to the extent permitted by applicable law:
Input Ownership: You retain ownership of all input you provide to the System.
Output Ownership: Subject to your compliance with these Terms, Dizideo assigns to you all right, title, and interest in and to the output provided by the System (limited to output responding directly to your input).
This means you can use the AI Content for any purpose, including commercial purposes, provided that you comply with these Terms and all applicable laws. You are solely responsible for the AI Content, including ensuring that it complies with all applicable laws and these Terms.
Non-Exclusive Nature of AI Content
Due to the nature of machine learning, the output generated by the System may not be unique across all users. The System may generate the same or similar output for multiple users. Content generated for other users is not considered your AI Content, and you have no rights to such content.
System Limitations and User Responsibility
Artificial intelligence and machine learning are fields of rapid development. While Dizideo works continuously to improve the System to make it accurate, reliable, safe, and beneficial, the inherent imperfections of machine learning mean the System may not always provide correct, unique, or legally compliant outputs based on the input you provide.
You are solely responsible for evaluating and confirming the legality, accuracy, and suitability of any output generated by the System for your intended use. Dizideo disclaims all liability for errors or inaccuracies in AI Content generated by the System.
MARKETING.AI Restrictions
When using the Marketing.AI tool (the “System”), you agree to the following restrictions:
Respect Rights of Others:
You may not use the System or its output in any way that infringes, misappropriates, or violates the rights of any individual or entity, including intellectual property, privacy, or other legal rights.
Prohibition on Reverse Engineering:
You may not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying models, algorithms, or components of the System.
No Competing Systems:
You may not use the output from the System to develop models, algorithms, or other systems that directly or indirectly compete with the System.
Representation of Content:
You may not misrepresent the output from the System as human-generated if it is not or otherwise violate any terms or policies of Dizideo.
API Key Usage:
You may not buy, sell, transfer, or share API keys without Dizideo’s prior written consent.
Child Privacy Compliance:
If using the System via an API connection with a website or application directed at children, you must not send any personal information of children under 13 or the applicable age of digital consent in your jurisdiction.
Compliance with Documentation:
You agree to adhere to any rate limits, usage requirements, or other restrictions outlined in the documentation provided for the System.
Jurisdictional Compliance:
You may not use the System in violation of applicable laws, including where your jurisdiction does not support or permit the use of such systems.
Failure to comply with these restrictions may result in termination of your access to the System and other legal remedies as permitted by law.
SECTION 3 – OUR PRIVACY STATEMENT AND DATA PROCESSING ADDENDUM AND YOUR PERSONAL INFORMATION
We respect your privacy and are committed to the protection of your non-public, personal information. Your submission of personal information through the Website is governed by our Privacy Statement and, where applicable, our Data Processing Addendum (“DPA”). If you or your end users are located in jurisdictions such as the European Union, United Kingdom, Brazil, or California (USA), the DPA applies to the processing of personal data.

Both the Privacy Statement and the DPA are incorporated into this Agreement by reference, meaning they are a binding part of these Terms. By using the Website, you agree to the terms set forth in these documents.
SECTION 4 – INFORMATION YOU PROVIDE; REGISTRATION; PASSWORDS; PROHIBITION AGAINST HOSTING THIRD-PARTY AGENCY ACCOUNTS
As a Dizideo user, you will be required to create an account with Dizideo. You warrant that all information you provide to us is truthful and accurate and that you are not impersonating another person. You are responsible for maintaining the confidentiality of any password you may use to access your Dizideo account and agree not to share or transfer your password, username, or access to your account with any third party.
You are also responsible for maintaining the confidentiality of any proprietary or non-public information Dizideo may share with you as a user, including but not limited to technical details, pricing information, business strategies, and data about other past or current Dizideo users or their customers.
Prohibition Against Agency Accounts
So-called “agency accounts,” where you host services, tools, or content for third parties using your Dizideo account, are strictly prohibited. If your usage data indicates, in Dizideo’s sole and exclusive discretion, that you are operating an agency account, we reserve the right to take corrective actions, including but not limited to:
Cancellation of your Dizideo account.
Adjusting your pricing plan to reflect such usage.
Account Security and Responsibility
You are fully responsible for all transactions conducted under your Dizideo account and all information conveyed to Dizideo through your account. You agree to notify Dizideo immediately of any unauthorized use of your password, username, or account, or any other breach of security related to your account.
Dizideo is not liable for any loss or damage arising from your failure to comply with these obligations. By using our platform, you agree to indemnify and hold Dizideo harmless from any claims or damages arising from unauthorized access or use of your account.

SECTION 5 – ORDER PLACEMENT AND ACCEPTANCE
If you place an order for a service or product through Dizideo, payment must be received by us before your order is accepted. We may require additional information to process your order if any required details are missing or inaccurate, and we reserve the right to cancel or limit an order at any time after it has been placed. Your electronic order confirmation or any other form of confirmation does not constitute our acceptance of your order.
If you need to modify or cancel a pending order, you must contact us immediately at [Insert Support Email Address]. While we will make reasonable efforts to accommodate your request, we cannot guarantee that your order will be amended in accordance with your instructions.
Availability of Products and Services

Payment Terms
All advertised prices are in U.S. Dollars, and all payments must be made in U.S. Dollars.
SECTION 6 – REFUNDS FOR HARD GOODS
If you purchase a physical product (referred to as a "hard good," such as a book or other tangible item) from Dizideo or any related brands, you may be eligible for a limited refund, provided you meet the following conditions (unless otherwise specified):
Requesting a Refund:
You must submit your refund request in writing by contacting us at [Insert Support Email Address].
Timing of the Request:
Your refund request must be made within thirty (30) days of the date of purchase.
Returning the Product:
You must return the hard goods to Dizideo promptly, following the shipping and return instructions provided to you via email after your refund request is submitted.
Condition of the Returned Item:
The returned hard goods must be in like-new or resellable condition, as determined at Dizideo's sole, reasonable discretion.
Refund eligibility is contingent on meeting all of the above conditions. Shipping costs for returns are the responsibility of the customer unless otherwise stated in writing by Dizideo.
SECTION 7 – TRIAL OFFER, AUTOMATIC ENROLLMENT AND PAYMENT, AND CANCELLATION
If Dizideo offers you a free trial, the trial period will begin immediately upon your registration and will continue for the duration specified on the Website at the time of registration. Free trial subscriptions are available only to new Dizideo subscribers and for the periods stated on the Website. Previous subscribers or those who have already benefited from a free trial are not eligible for an additional free trial period.
Dizideo will send a reminder email at least seven (7) days before your trial ends. If you do not wish to continue your subscription after the trial period concludes, you must notify us at least 24 hours before the end of the trial period by:

Canceling through your Account Dashboard (instructions will be provided in the reminder email).
If you do not cancel at least 24 hours before the trial period ends, your subscription will automatically continue, and the payment method provided during registration will be charged the full monthly membership rate indicated at the time of enrollment.
Subscription Changes
Dizideo reserves the right to adjust subscription rates at any time. If the subscription rate changes after you subscribe, we will notify you by email and provide an opportunity to cancel before the new rate takes effect.
Cancellation Policy
Monthly Subscriptions:
If you wish to cancel your monthly subscription after a free trial or discounted period, you must provide at least ten (10) days’ notice prior to the first day of your next subscription month by:
Emailing a cancellation request to [Insert Support Email Address], or
Submitting the cancellation through your Account Dashboard.
If notice is provided less than ten (10) days before the next billing cycle, your credit card may still be charged for the upcoming month. No prorated refunds or credits will be issued for partial months of use.
Annual Subscriptions:
For annual subscriptions, you must provide at least ten (10) days’ notice before the first day of the next subscription year. If notice is provided less than ten (10) days before the start of the new subscription year, your payment method may still be charged. If you cancel before the end of the subscription year, no refund will be issued. However, Dizideo may provide a credit towards other subscription services at its sole discretion.
Discounted Subscriptions
If you subscribed at a discounted rate, Dizideo reserves the right to charge a cancellation fee equivalent to the discounted amount received.
SECTION 8 – SUBSCRIPTION TERMS AND AUTOMATIC PAYMENT
As a Dizideo user, you are responsible for paying all sums due to Dizideo in connection with your subscription in accordance with these Terms. Your first subscription fee is due at the time your account is set up, or after your free trial ends if you have not canceled your subscription. Monthly or annual fees, plus applicable taxes, are required as a condition of access to the services.
Every calendar month or year (depending on your subscription type), your payment method will be charged the subscription fee plus applicable taxes for the upcoming subscription period, as well as any accumulated charges from previous periods (collectively, “Fees”). Failure to utilize any services provided by Dizideo does not relieve you of your payment obligations under these Terms.
Payment Methods
Payment can be made using a valid credit card or debit card. Payment details will be collected through a secure financial data collection mechanism. You acknowledge and agree that Dizideo may store certain details of your payment method, such as the last four digits and expiration date, along with your payment history and due dates.
By subscribing, you authorize recurring payments in accordance with the terms for your selected service (e.g., monthly or annual billing). If we are unable to process your payment for any reason, we may, at our sole discretion, charge a lesser amount to "pause" your account while attempting to contact you for updated payment information.
Negative Option Billing
By signing up for a Dizideo account, you expressly consent to the use of negative option billing. Negative option billing allows you to maintain uninterrupted access to your Dizideo subscription without requiring repeated confirmations. You acknowledge that your subscription will continue to renew indefinitely until you take the necessary steps to cancel. Failure to cancel constitutes your express consent to continued subscription charges.
Automatic Payments
If you are a Dizideo user with a monthly or annual subscription, and you have provided a valid credit or debit card number or an alternative payment method, your payment will be automatically processed on your designated payment date. If funds are insufficient, we may charge a lesser amount to pause your account while retaining your information.
To cancel your subscription, you must:
Submit a cancellation request through your Account Dashboard, or
Email [Insert Support Email Address] at least ten (10) days before the start of your next subscription period.
By initiating a cancellation request, you acknowledge and consent to negative option billing practices, which may result in continued charges until the cancellation process is fully completed as outlined in these Terms.
Unpaid Fees and Account Termination
Dizideo reserves the right to immediately terminate your account or suspend access to services for any unpaid subscription period (in whole or part), with or without notice. Termination of service does not relieve you of your obligation to pay any outstanding charges. If Dizideo initiates collection processes for unpaid fees, you will be liable for all associated costs, including legal fees and expenses.
Taxes
In addition to subscription Fees, Dizideo may charge applicable value-added tax (VAT) or other taxes as required by law.
SECTION 9 – SHIPPING FEES
Unless otherwise specified on the Website at the time of purchase, if Dizideo ships you a physical product, we reserve the right to add applicable shipping and handling fees to your order. We will use commercially reasonable efforts to process and fulfill your order within a reasonable time after receiving your properly completed and verified order.
Shipping Information
To ensure successful delivery, you must provide accurate shipping address and phone number information. While we may offer estimated delivery dates or timeframes, such dates are good-faith estimates and are subject to change.
Delays and Cancellations
If your order is delayed, Dizideo will notify you at the email address provided during your purchase. If we are unable to contact you or if you choose to cancel due to the delay, we will cancel the order and issue a full refund for the amount charged.
Liability for Delays
Dizideo shall not be liable for any loss, damage, cost, or expense arising from shipment or delivery delays caused by third-party carriers or delivery services not owned or controlled by Dizideo.
Risk of Loss
The risk of loss and title for physical products pass to you upon our delivery of the items to a third-party carrier.
SECTION 10 – PRODUCTS, SERVICES, AND PRICES AVAILABLE ON THE WEBSITE
Products, services, and pricing information are typically posted on the Website but are subject to change. Dizideo reserves the right, without prior notice, to discontinue products or services or modify specifications and prices for any product or service without incurring any obligation to you. Unless expressly stated otherwise in these Terms, any price changes for your subscription or purchases will take effect after email notification to you.
Additional Programs or Services
From time to time, Dizideo may offer additional programs, products, or services through this Website or other platforms it owns or controls. These offerings will be described when available but are governed by these Terms.
For example, if Dizideo provides premium programs or events (e.g., workshops or training sessions), any associated travel or lodging costs will be your responsibility and are not included in program fees. You acknowledge that materials and information provided through such programs are proprietary and confidential to Dizideo. Accordingly, you agree not to share, disclose, or distribute the teachings, materials, or proprietary information from such programs to any third party.
Price Changes
Price changes are effective on the first day of the calendar month following the price change notice. By accessing, using, subscribing, or placing an order on the Website, you authorize Dizideo to charge your account for the products or services selected, including any future price adjustments. If you request a downgrade in services, such downgrade (and any corresponding price adjustment) will take effect on the first day of the month following your request.
By continuing to use Dizideo services after being notified of a price change, you agree to the updated pricing. If you choose to terminate your subscription, you must follow the cancellation process outlined in these Terms.
Pricing Accuracy and Product Descriptions
Dizideo takes reasonable steps to ensure the accuracy of prices displayed on the Website and to provide accurate descriptions of the products and services offered. You represent and warrant that you operate a business in good standing and that there are no prior or pending government investigations or prosecutions against you or your business. You agree to use Dizideo’s products and services solely for lawful purposes and not for any unlawful or harmful purposes, whether alone or in conjunction with other software, hardware, or services.
Compliance with Laws
You are solely and exclusively responsible for ensuring compliance with all applicable laws and regulations in operating your business. This includes, but is not limited to, laws governing:

Tax Responsibilities
You are solely responsible for collecting and reporting any and all sales and use taxes, as well as any other applicable taxes, related to the sale of products or services by your business. Indemnification

SECTION 13 – OPTIONAL ORDER “ROUND UPS” FOR CHARITABLE DONATIONS AND POTENTIAL TAX IMPLICATIONS
At its sole discretion, Dizideo may provide an option for you and your customers to voluntarily “round up” purchases at checkout by set amounts (e.g., $1, $3, $5, or $10) to be donated to charitable organizations recognized under Canadian and United States law as tax-exempt, such as Village Impact or Operation Underground Railroad (each referred to as a “Charity”). Charities are tax-exempt under Section 149 of the Canadian Income Tax Act or Section 501(c)(3) of the United States Internal Revenue Code of 1986, as amended.
Structure of Donations
Any “round up” donation amounts will not appear as separate charges to your customers but will be included in the total purchase price charged.
Dizideo will maintain these donations in a separate, non-interest-bearing account before contributing them to the Charity.
Finality of Donations
“Round up” donations are irrevocable. Neither you nor your customers are entitled to refunds of donation amounts, even if items purchased are returned.
These donations are irreversibly transferred to Dizideo, acting as an agent and nominee for the Charity, and will be forwarded to the Charity as soon as practicable, but no later than sixty (60) days after receipt.
Tax Implications
